Upon reviewing TriZetto's last year's 8-K filing, I couldn't help but notice that THREE (count'em 3) CFO's/PAO's have suddenly resigned for "personal" reasons (fishin' must be really good out there on the west coast) leaving MILLIONS of restricted stock on the table, and noone home to be financially accountable for the merger.

This exodus could be proof positive of the intended effects of Sarbanes Oxley, and a healthy fear of the SEC (or incarceration for that matter). Consider it - the business conduct and ethics standards imposed by SOX were adopted by TriZetto in 2007.

Sorry, David, but I find it hard to believe that people have been hanging around that long waiting for the stock to shoot back up to $70. And I find it very interesting that TriZetto's disclosure here seems -- at least on the face of it -- to be less than complete. I don't think that's necessarily worthy of a lawsuit, but after reading the background pretty carefully, it doesn't quite meet my sniff test.

Michelle:

As you know, I rarely side with management. That said: Be real! In our view, these lawsuits are actions by soured investors—who probably bought stock in TZIX at $70 a share back in March 2000.
