Vonage CEO racks up Gulfstream miles…

gulfstream.jpegIt’s been awhile since we’ve checked in on Vonage (VG), the once high-flying alternative phone company whose ads are still all over the place. But last time we checked in, they had just hired former Cingular marketing executive Mark Lefar to serve as CEO. Last August, Vonage had agreed to pay Lefar handsomely — $850K in salary and another $865K to “compensate the executive for early termination of his prior business affairs”.

And what a year it has been under Lefar. When he joined the company, Vonage stock was trading at around $1.50 and a little over a year later it’s trading at around $1.40.

So what does the Vonage board decide to do? Well, reward Lefar, of course. In an amended employment contract attached to the 10Q the company filed late Friday, the salary is the same. But the travel benefit more than doubles. Under the old agreement, Vonage covered up to $250K in travel expenses between Lefar’s home in Atlanta and Vonage’s headquarters in Holmdel, New Jersey. But in the new agreement, that amount was increased to $600K.

Doing some quick back-of-the-envelope math, that works out to a lot more than weekly trips to Atlanta to see the family back home, even if you assume that each time he flies, it’s in a Gulfstream V. So what’s the extra money going for? The contract doesn’t really address that.

But wait — there’s more. In addition to the $600K for private air travel, the company has also agreed to reimburse Lefar for “an amount equal to the cost of commercial air travel for each trip (i.e., the cost of a first-class, fully refundable, direct flight booked one week prior to travel) while employed during the Term.”

So he’s getting up to $600K to fly on the private jet and he also gets additional money to fly commercial? What kind of sense does that make? Has Lefar figured out a way to be in a Gulfstream and a Delta 737 at the same time?

Even if this were a far healthier company, it would be hard to justify this sort of expense as legitimate. But Vonage is not that company so it seems even more out-of-whack.

    actually 12k per week would not cover a Gulfstream V, or really even come close. Charter rates are 6-7k per hour, 2hr trip to ATL. Plane either dead heads back up and then down on Sun, or you put the crew up for the weekend which cost another k.

    What are the personal tax consequences of the reimbursement of an expense you did not pay? Expect to see financial planning and tax advice added to package, plus the obigatory gross up.

    What can only be called the strident irresponsibility of most BODs these days is amazing. But they also are often riding the same gravy train. Choo choo. Diffuse stockholders have no power — it is virtually impossible for them to organize. But wait! That’s what BODs are for. Ahem, see first point.

    Lefar would succeed well in Congress with his experience in raping the public! Not all BOD’s are evil! All BOD’s should be made up of volunteers. I think this information should make headlines. I would not use Vonage for this idiocy alone! Enough of this nonsense, just get a MagicJack! Whatever, I’ll stick to my landline and continue to be raped by ATT and their ilk!!! Can’t win for losing!!!

    Mr. Lefar does not fly in a G-V from and to Atlanta every week. He flys in a Hawker Beech Jet 400 with other employees and seldom by himself. He has never got onto a G-V from Atlanta since I have been working at the airport for which he departs and arrives to at the end of each week. He drives a 5 year old MB400 Seadan. I valet his car and make sure his bag is on board the BeechJet 400. Once in awhile he brings a box of Dunkin’s for the line crew as well as the counter CSR’s. He is a nice guy and his own staff declares the same. I work at the FBO for which he uses at PDK for his flights to Belmar, N.J. That’s what I dislike about most media, they don’t do their research and homework and everyone who is not in the know take this information as gospel. Sad state of affairs for this country. Go to Raytheon Beechcraft and see the specifications of a BeechJet 400. Then go to Gulfstream and see the specifications of the G_V. It is like a Yugo compared to full coach motorhome. You can’t even stand up in the plane. A G-V is a $10K+ per hour flight time and a BJet is a$2K+ per hour flight time.

    Vonage shareholders pay more than $20,000 per week (yes, JR, gross up) for Lefar to fly RT to a shell office in Atlanta. I believe one of those “employees” has medium length blonde hair. Lefar makes millions per year, more than the company itself in profits. His car is paid for by Vonage shareholders. His apartment is paid for by Vonage, as are those of some “employees,” and maids, expenses, meals, bonuses…All from shareholders of a company that’s getting killed by Skype and Google and bleeding customers. Rape is the correct term here.
