So, this is a tip-off that Goodell will be a named executive officer (i.e., in the top 5) in their 2010 proxy statement. See paragraph 10(iii)(A) of Item 601 of Regulation S-K. They could be taking the position that since Goodell was not a “named executive officer” in Hess’ 2009 proxy statement, it was not required to be filed in 2009. So, this is a tip-off that Goodell will be a named executive officer (i.e., in the top 5) in their 2010 proxy statement. See paragraph 10(iii)(A) of Item 601 of Regulation S-K.
